A lot of disputes I see start as routine business deals.
They escalate not because anyone acted in bad faith, but because small contractual details were reused without much thought, whether it’s the governing law, dispute resolution, or fee provisions.
It’s often worth spending a little time on those provisions at the front end, even when the rest of the agreement feels routine. You never know which one will become an issue. Fixing them later, once a dispute exists, is almost always harder and more expensive, and rarely improves the situation.
